Sellers
and brokers alike are going to ask you to sign a
Confidentiality agreement or Non-Disclosure Agreement (NDA) prior to
providing you with any sensitive and important information about the business. These are generally pretty standard documents and provide the seller and their representatives normal protection. Completing CA's and NDA's is a standard step in the process of researching a business for sale.
Standard components of these documents include: Agreeing to keep all information confidential, not circumventing the broker involved, not contacting employees of the seller or vendors or customers.
If anything seems confusing or out of line, feel free to discuss it with us or any broker you're dealing with. If you still feel unsure about the document, have an attorney review it.
When you receive a Confidentiality agreement and other qualifying documents it also helps to fill them out and send them back quickly - it will go a long way to show that you're serious.
